Indonesia as a developing country that realizes that science and technology transfer have an important role in accelerating national socio-economic development, especially in accelerating the increase in the production of goods and services in the industrial sector, which is related to technology transfer. Utilization can encourage growth that helps international coverage. Technology Transfer is a strategic tool in increasing mastery, use of science and technology. Technology transfer which causes many changes becomes a determining factor for the success of economic growth with the science and technology elements. The problem is, 1) How to Transfer Technology Arrangements according to TRIP'S / TRIM's 1994 and their Implementation in Industrial Development in Indonesia? 2) How are the Constraints and Constraints in the Technology Transfer Process in the Industrial Development Framework in Indonesia? The method used is a normative legal research method using secondary data sources consisting of primary, secondary and tertiary legal materials. Data collection techniques with the study of documents that were analyzed qualitatively. The results of the study, 1) Technology Transfer Arrangements in accordance with TRIP's / TRIM'S, namely regulating foreign investment that is not appropriate, so that foreign investment from developed countries to developing countries can regulate capital revenues from foreign investment in the country, and 2) One of the constraints and constraints found in Technology Transfer, namely developing countries have limitations in processing or utilization, as well as technology that has been provided by developed countries to developing countries, so developing countries cannot be separated in the influence of technology. that has been given.
