PENDIRIAN PERSEROAN KOMANDITER ATAU COMMANDITAIRE VENNOOTSCHAP (CV) MENURUT TEORI DAN PRAKTEKNYA (Studi Kasus Di Pengadilan Negeri Muaro Kabupaten Sijunjung)
Abstract
ABSTRAK
Commanditaire Vennootschap established between the person or persons responsible owned joint responsibility for the whole, and one or more as a lender of money. In the Code of Commercial Law (Commercial code) no regulate the establishment, registration and announcement. In practice in Indonesia to establish a limited partnership with a deed made by a notary deed, registered at the District Court authorized and announces in the Official Gazette of Republic of Indonesia. In connection with this problem in this research: 1) Are the reasons for establishing the implementation in practice? 2) Are the problems encountered Court Muaro Sijunjung when registration? and 3) What legal sanctions do not apply to the District Court and published in the Official Gazette. Methods used by juridical sociological approach, namely legal research done to obtain primary data obtained directly from the field through interviews with informants. Results of the study concluded. (1) that of Govinindo, Sabelta Ilham Jaya Pratama and work in addition to the reasons of such third relatively easy set up, the most fundamental reason is to facilitate the development of business and get a project or tender. (2) The problem that often found found in the registration process at the District Court Muaro Sijunjung, owners often do not complete the administrative requirements that have been determined by the District Court Muaro. (3) Regarding penalties for not registering to Muara District Court, in this case there are no sanctions for those because there has been no decision or jurisprudence in the District Court Muaro Sijunjung district.
